Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the VeriScore platform, including the Capital Passport scoring system, all associated APIs, dashboards, and content (collectively, the “Service”), operated by VeriScore Technologies Ltd (“VeriScore”, “we”, “us”, or “our”).

By creating an account or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of a business or organisation, you represent that you have authority to bind that entity to these Terms.

VeriScore provides an MSME financial identity and credit intelligence platform. Our core services include:

• The Capital Passport — a composite financial identity document containing four scored dimensions: Business Health Score (BHS), Credit Readiness Score (CRS), Investment Readiness Score (IRS), and Tax Readiness Score (TRS).
• Field verification services — physical verification of business premises and operations conducted by Glued Insights agents.
• Institutional dashboards — portfolio-level intelligence for lender and partner access (subject to separate institutional agreements).
• API Access — programmatic access to Capital Passport data for integration into third-party systems (subject to API terms).

VeriScore scores are based on available data at the time of computation. We do not guarantee any specific lending outcome, credit approval, or investment decision based on Capital Passport scores.

To use VeriScore, you must:

• Be at least 18 years of age.
• Be an authorized representative of the business you are registering.
• Provide accurate, current, and complete information during registration
• Maintain the security of your account credentials.
• Promptly notify us of any unauthorized access to your account.

You are responsible for all activity that occurs under your account. VeriScore reserves the right to suspend or terminate accounts where there is reason to believe information provided is inaccurate, misleading, or fraudulent.

By using VeriScore, you consent to:

• The collection and processing of your business and personal data as described in our Privacy Policy
• Field verification visits by Glued Insights agents where applicable to your subscription tier.
• Connection and processing of linked data sources (bank accounts, CAC records, FIRS data) that you authorise.
• Sharing your Capital Passport with institutions you designate within the platform.

You warrant that all data you submit is accurate and that you have the right to share it with us. Submitting false or misleading data is grounds for immediate account termination and may constitute a criminal offence under Nigerian law.

VeriScore Capital Passport scores are informational tools designed to help MSMEs communicate their financial health to institutions. You understand and agree that:

• Scores are computed from available data and may not reflect your complete financial picture.
• A high score does not guarantee credit approval, funding, or investment.
• Scores may change over time as underlying data changes.
• VeriScore is not a lender, credit bureau, or financial regulator.
• Institutions that receive your Capital Passport make independent decisions; VeriScore is not responsible for those decisions.

VeriScore offers the following subscription tiers:

• Starter (Free):Basic Capital Passport access. No payment required.
• Growth (₦15,000/month): Full Capital Passport with monthly refresh, digital data tier, and shareable lender report.
• Institutional (Custom): API access, field verification tier, and partner dashboard. Governed by a separate institutional agreement.

Paid subscriptions are billed monthly in advance. Failure to pay may result in downgrade to the Starter tier. Refunds are not issued for partial billing periods. Pricing is subject to change with 30 days’ notice.

All content, scoring algorithms, methodologies, trademarks, and platform code associated with VeriScore — including “Capital Passport”, “Verified by VeriScore™”, and all four score names and abbreviations — are the exclusive intellectual property of VeriScore Technologies Ltd.

You are granted a limited, non-exclusive, non-transferable licence to use the Service for your own business purposes. You may not reproduce, reverse-engineer, sublicense, or commercially exploit any part of the Service or its outputs without our written consent.

You agree not to:

• Submit false, fraudulent, or misleading data to inflate your scores.
• Attempt to reverse-engineer, scrape, or copy VeriScore’s scoring methodology.
• Use the platform to facilitate money laundering, fraud, or any illegal activity.
• Access another user’s account without authorisation.
• Use automated tools to access the platform without prior written consent.
• Resell or commercially redistribute Capital Passport outputs without a partner agreement.

TTo the maximum extent permitted by Nigerian law, VeriScore Technologies Ltd shall not be liable for:

• Any indirect, incidental, or consequential loss arising from your use of the Service.
• Lending or investment decisions made by third parties based on Capital Passport scores.
• Data inaccuracies arising from information submitted by you or third-party data sources.
• Service interruptions, data loss, or security breaches caused by events outside our reasonable control.

Our total liability to you for any claim arising under these Terms shall not exceed the total amount you have paid to VeriScore in the 12 months preceding the claim.

You may close your account at any time by contacting us at hello@veriscore.app. We may suspend or terminate your account immediately if:

• You breach these Terms.
• We are required to do so by any law or regulatory authority.
• You provide inaccurate grounds to suspect fraudulent misuse.

On termination, your access to Capital Passport data will cease. We will retain your data as required by our Privacy Policy and applicable law.

These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute arising from these Terms or your use of the Service shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be referred to binding arbitration in Lagos, Nigeria, under the rules of the Lagos Court of Arbitration.

We may update these Terms from time to time. Material changes will be communicated by email or in-platform notice at least 14 days before they take effect. Continued use of the Service after changes take effect constitutes your acceptance.
